RCS Terms of Service

These Terms govern your ("Partner") use of the Managed RCS (Rich Communication Services) agent setup and management services ("Services") provided by Implemented Today LLC ("we," "us," "our"). We provide these Services to you for your clients ("End Clients"). Under this agreement, Implemented Today LLC actively executes and manages the technical and operational compliance of the RCS Agent to ensure the protection of the End User (the consumer).

1. End User Protection

As your service provider, Implemented Today LLC is responsible for the technical execution and management of the following core compliance functions:

Opt-Out Management:

Our platform automatically manages all End User opt-out requests ("STOP" ). We ensure these requests are honored immediately and permanently.

Consent Verification:

We will verify the mechanisms you use to obtain End User consent (opt-in) before service activation. We will not activate any agent without a compliant opt-in method.

Content Policy Enforcement:

We will monitor message activity for content that is illegal, fraudulent, deceptive, hateful, or violates carrier policies (e.g., SHAFT: Sex, Hate, Alcohol, Firearms, Tobacco). We reserve the right to block any message or suspend an agent in violation.

2. Partner & End Client Obligations

While we manage the Service, its use must be based on truth and cooperation. You (the Partner) must ensure that you and your End Clients:

Provide True Information:

Provide complete and accurate information about the End Client's brand, the service, and the intended purpose of the messages.

Maintain Consent Records:

Ensure the End Client (as the "Data Controller") securely maintains all records of End User consent and provides them to us upon request for an audit.

Maintain a Privacy Policy:

Ensure the End Client provides and maintains a clear, accurate, and publicly accessible Privacy Policy.

3. End User Data Privacy

Our Role (Data Processor):

We act as the Data Processor on behalf of the End Client. We will never sell End User data.

Our Commitment:

We only process End User Personal Data to provide, secure, and monitor the Services for compliance. We implement strong technical and organizational measures to protect all data we process.

4. Service Suspension & Termination

We reserve the right to suspend or terminate any RCS Agent immediately and without notice if:

• We detect a violation of our policies or any law.
• We are required to do so by a mobile carrier, law enforcement, or regulatory body.
• The Partner or End Client provides false information or fails to cooperate with a compliance audit.

5. Indemnification

You (Partner) agree to indemnify, defend, and hold harmless Implemented Today LLC from and against all claims, fines, liabilities, and losses (including legal fees) arising from:

• A breach of your obligations under Section 2 (e.g., providing false information).

6. Disclaimers and Limitation of Liability

• The Services are provided "AS IS" and "AS AVAILABLE." We do not guarantee 100% uptime or message deliverability.
• We are not liable for any indirect, special, or consequential damages.

7. General

These Terms are governed by the laws of the State of Illinois. We may update these Terms by providing you with notice.
